Trustco shareholders to vote on board overhaul in December

Staff Writer

Trustco Group Holdings shareholders will meet on 2 December to vote on proposals to remove the majority of the company’s incumbent board members and appoint new directors.

The meeting follows a requisition notice received by the company, which was disclosed in an announcement on 25 September 2026.

Trustco said the general meeting would take place at its offices at 2 Keller Street in Windhoek. An electronic link will be provided to shareholders for observation purposes only.

The proposed resolutions were submitted by the requisitioning shareholder or shareholders and will be considered and put to a vote at the meeting.

Trustco said the formal notice of the meeting, proxy form and supporting documentation required under applicable law and the Johannesburg Stock Exchange (JSE) listing requirements would be distributed to shareholders in due course.

Only shareholders recorded in the company’s securities register on the applicable record date will be entitled to attend, participate in and vote at the meeting.

The board said convening the meeting was in compliance with the procedural requirements of the Namibian Companies Act, 2004.

However, it stressed that the decision to convene the meeting should not be interpreted as accepting the legality of the requisition or waiving any rights or objections relating to the proposed resolutions.

Trustco also reserved its rights in relation to disputes, arbitration, litigation and other proceedings concerning the requisition, the proposed resolutions and the entitlement of individuals to exercise voting rights.

The board said it was required to convene the meeting but was not expressing an opinion on the legality of the requisition or the requisitioning shareholders’ right to call it.

Trustco is listed on both the JSE and the Namibian Stock Exchange (NSX) under the share codes TTO and TUC, respectively. The company said further announcements would be made when appropriate.
