Stimulus Investments Limited has issued a cautionary announcement advising shareholders that it has entered into negotiations which, if successfully concluded, could have a material effect on the price of its preference shares.
The company said the announcement was made in compliance with Section 3.9 of the Namibia Securities Exchange (NSX) Listing Requirements.
Stimulus said details of the negotiations cannot yet be disclosed, but noted that the outcome, if finalised, may have a significant impact on the value of its listed preference shares.
As a result, the company urged shareholders to exercise caution when trading in Stimulus preference shares until a further announcement is released.
The cautionary announcement was issued by order of the board on 23 July 2026 in Windhoek. Stimulus Investments is listed on the Namibia Securities Exchange under the share code SILP, with Cirrus Securities (Pty) Ltd acting as the company’s sponsor.
In May, Stimulus Investments Limited said it had agreed to sell its 50% stake in Khomas Solar Saver (Pty) Ltd for N$155.7 million after receiving unconditional approval from the Namibian Competition Commission.
Stimulus said the transaction involved the disposal of its entire shareholding in Khomas Solar Saver (Pty) Ltd, including related loan claims, to Sedgeley Solar Management (Pty) Ltd, which already owns the remaining 50% stake in the business.
The company said the agreement had been subject to several conditions’ precedent, with the unconditional approval from the Namibian Competition Commission being the most significant requirement.
Stimulus is an investment holding company incorporated in Namibia, with its 2011 preference shares listed on the Namibia Securities Exchange.
The company said the preference shares provide investors with exposure to a diversified portfolio of unlisted private equity-style investments.
Stimulus is invested in a range of entities in Namibia, including, Cymot, a supplier of automotive, camping and outdoor products, PPE and tools; Neo Paints, manufacturer and distributor of paint products; Plastic Packaging Group, which offers packaging solution and recycling business; Polyoak Namibia, a manufacturer and distributor of food and beverage packaging solutions and Walvisbay Stevedoring, a provider of stevedoring services at the ports of Walvis Bay and Lüderitz.
