Capricorn Group directors and its company secretary have exercised vested shares with a combined transaction value of about N$12.4 million, according to disclosures to the Namibia Securities Exchange (NSX).
The transactions involved shares awarded under the group’s Conditional Share Plan and Share Appreciation Rights Plan.
Capricorn Group director Marthinus Johannes Prinsloo exercised 172 008 shares under the Conditional Share Plan at N$28.55 per share on 1 September 2026, with a total transaction value of N$4.91 million.
Prinsloo also exercised 68 013 shares under the Share Appreciation Rights Plan at N$28.81 per share on 17 September 2026, valued at N$1.96 million.
Fellow Capricorn Group director Johan Maass exercised 56 164 shares under the Conditional Share Plan at N$28.55 per share on 1 September, with a transaction value of N$1.60 million.
Bank Windhoek director James Willian Chapman exercised 80 498 shares under the Conditional Share Plan at N$28.55 per share, valued at N$2.30 million.
Chapman also exercised 23 892 shares under the Share Appreciation Rights Plan at N$28.81 per share on 17 September, valued at N$688 329.
The disclosure further shows that Chapman sold 25 759 shares in an off-market transaction on 24 September at N$28.55 per share. The transaction was valued at N$735 419.
Capricorn Group company secretary Hellmut Gottlob von Ludwiger exercised 25 928 shares under the Conditional Share Plan at N$28.55 per share on 1 September, valued at N$740 244.
He also exercised 13 951 shares under the Share Appreciation Rights Plan at N$28.81 per share on 17 September, with a transaction value of N$401 928.
All the transactions were recorded as direct beneficial interests, and the disclosure states that clearance had been obtained for each transaction.
The Conditional Share Plan awards were made on 1 September 2023 and vested on 1 September 2026, while the Share Appreciation Rights Plan awards were made on 17 September 2021 and vested on 17 September 2024.
