PSG financial services to delist from Mauritius exchange

Namibia will remain one of the primary markets for PSG Financial Services Limited after the company announced plans to withdraw its ordinary shares from the Official Market of the Stock Exchange of Mauritius (SEM), while retaining its listings on the Johannesburg Securities Exchange (JSE) and the Namibian Securities Exchange (NSX).

The withdrawal from the SEM was approved by the company’s shareholders at its 2026 annual general meeting and was subsequently approved by the Listing Executive Committee of the SEM on 20 August 2026.

The delisting will take effect after market close on 31 August 2026. From that date, PSG Financial Services shares will no longer be listed or traded on the SEM, and shareholders will no longer be able to transfer shares to the SEM register for trading on the Mauritian exchange.

PSG Financial Services said the decision followed a lack of trading activity on the SEM, which it said provided limited benefit to the company and its shareholders while creating ongoing regulatory, administrative and compliance requirements and costs.

The company said the single shareholder whose shares are currently held on the SEM register is taking the necessary steps to transfer those shares to the JSE register.

The withdrawal will not affect PSG Financial Services’ listings on its primary markets. Its ordinary shares will continue to be listed and actively traded on both the JSE and the NSX.

The company is completing the remaining administrative and regulatory formalities required to finalise the SEM delisting process.

PSG Financial Services, incorporated in South Africa, is listed under share code KST on the JSE and KFS on the NSX. 

The company said the decision to withdraw from the SEM was made following shareholder approval and the subsequent regulatory approval from the Mauritian exchange.

PSG Capital Proprietary Limited is acting as transaction adviser and JSE sponsor, while PSG Wealth Management (Namibia) Proprietary Limited is the NSX sponsor. Perigeum Capital Ltd is the SEM authorised representative and sponsor.
