Savanna Beef to hold AGM, consider financial statements

Savanna Beef Processors Limited will hold its fourth Annual General Meeting (AGM) on 13 August, where shareholders will consider the company’s annual financial statements, auditor appointment and changes to the board of directors.

The Namibia Stock Exchange (NSX)-listed beef processor said the meeting will provide shareholders with feedback on the company’s activities, while also considering a number of ordinary resolutions in accordance with the Companies Act.

One of the key items on the agenda is the adoption and approval of Savanna Beef Processors’ annual financial statements for the financial year ended 28 February 2026.

Shareholders will also vote on the proposed reappointment of Grant Thornton Neuhaus as the company’s independent auditors for the coming year. The board of directors will be authorised to determine the auditors’ remuneration should the resolution be approved.

The AGM will further consider changes to the composition of the company’s board and two board members retire by rotation in terms of the company’s Articles of Association.

Shareholders will also be asked to approve a general authority allowing the directors to allot and issue authorised but unissued ordinary shares, subject to the provisions of the Companies Act.

The authority, if approved, will remain valid until the next AGM unless withdrawn earlier by shareholders.

Another resolution will seek authority for the board or persons authorised by the board to take all necessary steps and sign documents required to implement resolutions approved at the meeting.

The company confirmed that no remuneration was paid to non-executive directors during the financial year ended 28 February 2026.

Shareholders recorded in the company’s register by 15 July 2026 will be entitled to receive the AGM notice, while those recorded by 7 August 2026 will be eligible to attend and vote at the meeting.

The last day to trade in order to qualify for attendance and voting rights is 31 July 2026.

Savanna shareholders may attend the AGM in person or appoint a proxy to participate and vote on their behalf. 

Completed proxy forms must reach Cirrus Securities (Pty) Ltd in Windhoek or be emailed to the designated company representative by 10:00 on 11 August 2026.

The approval of ordinary resolutions requires support from more than 50% of voting rights exercised by shareholders, while special resolutions require at least 75% approval from shareholders present in person or by proxy, provided the required quorum is met.
