Alpha Namibia Industries Renewable Power Limited (ANIREP) will ask shareholders to approve the appointment of Deloitte Namibia as the group’s auditor for three years, replacing Ernst and Young Namibia.
The proposed change is among the resolutions to be considered at the company’s eighth annual general meeting on 16 November to be held virtually.
According to the notice of the meeting, the appointment will be subject to a review at the next annual general meeting, while the board will be authorised to determine the auditor’s remuneration.
Shareholders will also consider a resolution to declare no dividend for the financial year ended 28 February 2026.
The meeting will receive and consider ANIREP’s annual financial statements and consolidated financial statements for the year, together with the reports of the directors and auditors.
Shareholders will be asked to acknowledge changes to the company’s Investment Committee following the resignation of its chairperson, Arinze Okafor, with effect from 31 August.
Gavin Frey, who is already a member of the committee, has been appointed as its new chairperson. The resolutions seek shareholder acknowledgement of both changes.
The meeting will also consider the re-election of three non-executive directors who retire by rotation under the company’s Articles of Association.
They are Faniel Kisting, Eino Mvula and Elvis Nashilongo, all of whom are eligible for re-election.
Further resolutions concern changes to the company’s board committees.
Nashilongo’s appointment to the environment, social and governance Committee will be presented for acknowledgement.
Kisting’s reappointment as a member and chairperson of the audit, risk and compliance committee will also be acknowledged, alongside Mvula’s appointment as a member of that committee.
Mvula’s appointment to the remuneration and nomination committee will likewise be presented to shareholders.
The agenda also proposes the reappointment of ESI Secretarial Services as company secretary until the next annual general meeting, unless the appointment is revoked earlier by a general meeting.
Shareholders will further be asked to grant the directors general authority to allot and issue the company’s authorised but unissued ordinary shares, subject to the Companies Act, the company’s Articles of Association and Namibia Securities Exchange listing requirements.
The authority would remain valid until the next annual general meeting, unless revoked earlier by a general meeting.
The final resolutions include authorising the directors to take the necessary steps and sign documents required to implement decisions adopted at the meeting.
The meeting will also consider the adoption of the minutes of the seventh annual general meeting held on 21 November 2025.
